Terms of Service

These Terms of Service ("Terms") govern your access to and use of Sayso, operated by AskSayso ("Sayso," "we," "our," or "us"). By accessing or using the Service, creating an account, providing your phone number, or otherwise interacting with us, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

1. Description of the Service

Sayso is an AI-powered real-time call coaching tool designed for real estate professionals. The Service listens to live calls and surfaces suggested language, objection responses, and prompts to help users handle conversations more effectively. The Service is provided for informational and coaching purposes only and does not constitute legal, financial, or professional advice.

2. Eligibility and Age Restriction

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using Sayso, you represent and warrant that you are 18 or older. The Service is not directed to, and we do not knowingly collect information from, anyone under 18.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate and complete information and to keep it up to date.

4. SMS Program

Program description. Sayso operates an SMS program that sends transactional and informational messages to users who provide their mobile phone number and consent to receive texts. Message types include, without limitation:

• Appointment confirmations, reminders, and reschedule or cancellation notices for calls booked with Sayso;
• Account-related notifications such as verification codes, security alerts, and billing notices;
• Onboarding messages and product update notifications; and
• Customer support responses to inquiries you initiate.

Consent. By providing your mobile phone number and opting in (for example, by booking a call or submitting a form that discloses SMS consent), you agree to receive SMS text messages from Sayso at the number provided, including messages sent using an automatic telephone dialing system. Consent to receive SMS messages is not a condition of any purchase.

Opt-out instructions. Text STOP to opt out of SMS messages at any time. After you send STOP, we will send a single confirmation message and then stop sending you SMS messages. To rejoin, opt in again through the same method you originally used.

Message and data rates. Message frequency varies. Message and data rates may apply. Check your mobile plan and contact your wireless provider for details about your text messaging and data plan.

Supported carriers and carrier liability. The Sayso SMS program is available on most major U.S. carriers. Carriers are not liable for delayed or undelivered messages. Delivery of messages is subject to effective transmission by your wireless carrier and is not guaranteed.

We do not sell, rent, or share your phone number or SMS opt-in information with third parties for their marketing purposes. See our Privacy Policy for more information on how we handle your data.

5. Acceptable Use

You agree that you will not:

• Use the Service in violation of any applicable law, regulation, or third-party right, including telemarketing, do-not-call, wiretap, two-party consent, or call-recording laws;
• Use the Service to record, transcribe, or analyze calls without obtaining all consents required by law in the jurisdictions where the call participants are located;
• Use the Service to harass, defame, deceive, or harm any person, or to send unsolicited communications;
• Reverse engineer, decompile, or attempt to extract the source code of the Service, except to the extent expressly permitted by law;
• Interfere with or disrupt the Service, attempt to gain unauthorized access to any systems, or probe, scan, or test the vulnerability of the Service; or
• Use the Service to build a competing product or to train a competing machine-learning model.

6. Intellectual Property

The Service, including all software, text, graphics, logos, and other content (excluding user-provided content), is owned by AskSayso and its licensors and is protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. You retain all rights to your user-provided content; you grant us a worldwide, non-exclusive, royalty-free license to host, process, and use that content as necessary to provide and improve the Service.

7. Third-Party Services

The Service may interoperate with third-party services (for example, calendars, dialers, or CRMs). Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT COACHING SUGGESTIONS WILL BE ACCURATE OR PRODUCE ANY PARTICULAR RESULT. YOU USE THE SERVICE AT YOUR OWN RISK.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ASKSAYSO OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

10. Indemnification

You agree to indemnify, defend, and hold harmless AskSayso and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service, your user content, or your violation of these Terms or applicable law, including any call-recording or consent laws.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms or applicable law, or if we discontinue the Service. You may stop using the Service at any time. Sections that by their nature should survive termination will survive.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in California, and you consent to the personal jurisdiction of those courts.

13. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
